Enriched Merchant Details Services (EMDS) terms (aka, Connected Accounts (CA))

Schedule I CA Enriched Merchant Details Terms

These terms (“CA Enriched Merchant Details Terms”) supplement the Stripe Services Agreement located at https://stripe.com/us/legal/ssa (the “Stripe Agreement”) and govern your use of Enriched Merchant Details Services.

You agree as follows:

1. Enriched Merchant Details Services.

• Use of Enriched Merchant Details Services. Your use of the Enriched Merchant Details Services is governed by the Stripe Agreement, the Documentation (if applicable), and these CA Enriched Merchant Details Terms. If the terms of your agreements with your own customers or users require amendment in order to allow you to implement the Enriched Merchant Details Services, you must make such amendments before you use the Enriched Merchant Details Services.
• Nature of Enriched Merchant Details. By their nature, the Enriched Merchant Details Services may be feature incomplete or contain bugs. You should not use the Enriched Merchant Details Services in a production environment until and unless you understand and accept the limitations and flaws that may be present in the Enriched Merchant Details Services.

2. Definitions.

As used in these CA Enriched Merchant Details Terms, the following terms have the meanings specified below:

1. “Data Provider” means a provider of data, information, and analytics included in certain Enriched Data sets, or from which certain Enriched Data sets are derived.
2. “Enriched Data” means enriched data and merchant details associated with a Card Transaction that you receive through the Enriched Merchant Details Services, including merchant name, logo, and categorization.
3. “Enriched Merchant Details Services” means the Services that enable you to (a) receive Enriched Data and (b) collect, use, disclose and process Enriched Data for a Permitted Purpose.
4. “Permitted Purpose” means your use of Enriched Data for internal, non-commercial uses (i.e., no resale of Enriched Data).
5. “Preview Service” has the same meaning as “Beta Service” in the Stripe Agreement and “Preview” has the same meaning as “Beta” in the Stripe Agreement.

3. Conditions of Use; License.

Enriched Data.

You will not, and will not permit a third party, to:

1. copy, adapt, modify, translate, or create a derivative work from Enriched Data;
2. publish, display, share, distribute or sell any part of Enriched Data;
3. make any Enriched Data downloadable or exportable to any third parties;
4. decompile, reverse engineer, or to derive source code or underlying information from Enriched Data;
5. attempt to re-identify any data in Enriched Data that does not identify individuals or use Enriched Data to infer any personal information relating to a known individual;
6. use Enriched Data to create a separate data file;
7. use the information in the “website” data field for sourcing of additional data points or to create derivative data products;
8. provide or otherwise make any Enriched Data, or any portion thereof, available to any vendors, service providers, or subcontractors; or
9. cache, archive, or store Enriched Data for the purpose of building a merchant database or similar tool.

Restrictions from Data Providers.

Enriched Data is Stripe Data. You acknowledge and agree that Enriched Data may be subject to additional requirements or restrictions on use in the future, including as imposed by the applicable Data Providers (the “Data Provider Restrictions”).

Additional Conditions of Use.

You:

1. will not charge for the Enriched Merchant Details Services.
2. will maintain commercially reasonable administrative, technical and physical controls designed to protect Enriched Data, including routine backup procedures.
3. must not use the Enriched Merchant Details Services in any location other than in the United States.

4. Disclaimers.

1. Availability. Stripe does not guarantee service levels for the Enriched Merchant Details Services.
2. Reliance. Your reliance on the Enriched Merchant Details Services is at your own risk. Stripe is not liable for any losses, damages, or costs arising out of or relating to the accuracy (or inaccuracy) of the Enriched Merchant Details Services or Enriched Data, and any actions that you may take based on the Enriched Merchant Details Services or Enriched Data. You are solely responsible for any use or misuse of such outputs or any services generally (including all consequences thereof). You waive any damages occasioned by lost or corrupt data, incorrect reports, or incorrect data files resulting from programming error, operator error, equipment or software malfunction, security violations, or the use of third-party software. You acknowledge that Enriched Data is compiled using various sources, many of which are made available by third parties and may contain certain errors, omissions or inaccuracies. Stripe is not responsible for correcting errors or inaccuracies contained in data sources that Stripe does not control. You remain responsible for all obligations hereunder arising in connection with your and your Authorized Users’ use and processing of Enriched Data, and you are directly liable for any and all acts and omissions for any such parties to the same degree as if the act or omission were performed by you.
3. General Disclaimer. Stripe provides the Enriched Merchant Details Services “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by Law, Stripe does not make any, and expressly disclaims all, express and implied warranties and statutory guarantees with respect to its performance under these CA Enriched Merchant Details Terms, the Enriched Merchant Details Services, Financial Partners, the Stripe Technology, Stripe Data, and the Documentation, including as related to availability, completeness, accuracy, quality, or security, the implied warranties of fitness for a particular purpose, merchantability and noninfringement, and the implied warranties arising out of any course of dealing, course of performance or usage in trade.

5. Confidentiality.

These CA Enriched Merchant Details Terms and the functionality of the Enriched Merchant Details Services are Stripe’s confidential information. You may not share the content of these CA Enriched Merchant Details Terms, including the pricing, or the functionality of the Enriched Merchant Details Services with any third party without Stripe’s prior written permission.

6. Term and Termination.

These CA Enriched Merchant Details Terms will apply from the Effective Date until the first to occur of (a) the second anniversary of the Effective Date (b) Stripe making Enriched Merchant Details Services publicly available to Stripe users in the Territory, (c) Stripe’s decision to stop offering the Enriched Merchant Details Services to you or in the Territory (which it may decide to do at any time, in its absolute discretion), (d) (termination of the Stripe Agreement, or (e) an agreement between Stripe and you that expressly supersedes these CA Enriched Merchant Details Terms. In the event you cease use of the Enriched Merchant Details Services, you must notify Stripe, and if you recommence using the Enriched Merchant Details Services you will once again be bound by these CA Enriched Merchant Details Terms. If Stripe makes the Enriched Merchant Details Services publicly available, your continuing use of Enriched Merchant Details Services will be subject to such terms as Stripe may specify at such time.

7. Effect of Termination.

Upon termination of these CA Enriched Merchant Details Terms, you will promptly, and in no event later than 90 days after the date of termination, delete and remove all Enriched Data from your systems.

8. General.

These CA Enriched Merchant Details Terms are subject to the Stripe Agreement. To the extent these CA Enriched Merchant Details Terms conflict with the Stripe Agreement, these CA Enriched Merchant Details Terms will prevail with respect to the Enriched Merchant Details Services. Except as modified in these CA Enriched Merchant Details Terms, the Stripe Agreement remains in full force and effect. Capitalized undefined terms used in these CA Enriched Merchant Details Terms have the meaning given to them in the Stripe Agreement
